Studio Terms of Service

These Terms of Service (“Terms”, “Agreement”) constitute a legally binding covenant between any visitor, prospective client, or contracting entity (“Client”, “User”, “You”) and Equim Private Limited (“Equim Designs”, “Studio”, “We”, “Us”), a private limited company incorporated under the laws of India, having its Registered Office at E-88, Yamunapuram, Bulandshahr, Uttar Pradesh, India - 203001, and its Headquarters & Studio Office at HD-12, 2nd Floor, Tower-C, The Iconic Corenthum, Sector 62, Noida, Uttar Pradesh, India - 201301 (GSTIN: 09AAFCE88031ZX).

By accessing our digital properties (www.equimdesigns.com), engaging the studio for architectural consultancy, interior design, Project Management Consultancy (PMC), or commissioning physical objects from the Equim Atelier, you acknowledge and agree to be bound by these Terms and our companion Privacy Policy.

Equim operates across three primary integrated disciplines:

• The Vessel (Architecture Consultancy): Conceptual spatial design, master planning, structural coordination, daylighting/computational analysis, municipal drawing coordination, and construction documentation.
• The Essence (Interior Architecture & Spatial Styling): Bespoke interior architectural planning, joinery detailing, finishes curation, lighting design, and sensory spatial articulation.
• The Transmutation (Turn-key PMC & Construction Management): Vendor coordination, quality auditing, site execution supervision, timeline governance, and material validation under our transparent 0% vendor markup framework.

All professional architectural services are executed by and under the direct supervision of registered architects licensed by the Council of Architecture (COA), India.

Under our proprietary Zero-Pact framework, Equim enforces an absolute zero-commission policy:

• The studio accepts zero referral fees, cashbacks, kickbacks, or hidden markups from contractors, material suppliers, fabricators, or vendors.
• All trade discounts negotiated by Equim are transferred 100% directly to the Client's billing statements.
• Our sole remuneration is the professional consultancy fee explicitly established in the formal Project Engagement Agreement.

All architectural drawings, blueprints, 3D parametric models, computational scripts, digital renderings, specification schedules, monographs, website media, and design concepts created by Equim remain the exclusive intellectual property and copyright of Equim Private Limited in perpetuity under the Indian Copyright Act, 1957.

Upon receipt of full payment of all contractual fees, the Client receives a non-transferable, non-exclusive license to construct and inhabit the specific physical project for which the drawings were commissioned. Drawings and models may not be repurposed, duplicated for secondary projects, or transferred to third-party developers without prior written consent from Equim.

Items offered via /shop (“Equim Objects”) represent limited-edition architectural furniture, hardbound monographs, and artisanal hand-thrown vessels:

• Natural Materials: Items crafted from raw wild oak, poured micro-concrete, or kiln-fired silt clays will exhibit natural grain, mineral flecks, and surface variations that celebrate raw materiality. These natural characteristics do not constitute defects.
• Lead Times & Delivery: Bespoke furniture and commission pieces are fabricated upon order confirmation with lead times specified on individual product folios (typically 2–8 weeks).
• Inquiries & Orders: Submitting a commission request initiates a concierge verification with our studio team before payment processing and artisan fabrication.

Architectural and interior consultancy fees are structured around distinct project milestone phases (Inception & Briefing, Concept Design, Schematic Development, Detailed Working Drawings, and Site Supervision).

Invoices are due upon presentation. Either party may terminate a project engagement upon 14 calendar days' written notice. In the event of early termination, the Client shall be liable only for services performed and verifiable milestone deliverables completed up to the date of notice.

While Equim exercises the highest standards of professional diligence in design and periodic construction review, the primary civil contractor remains exclusively responsible for job-site safety, construction techniques, equipment operation, structural formwork stability, and adherence to manufacturer instructions.

To the maximum extent permitted by applicable law, Equim Private Limited's cumulative liability for any claim arising out of a professional engagement shall be limited to the total consultancy fees actually received by the studio for the specific service phase in dispute.

These Terms, all project agreements, and any non-contractual obligations arising out of them shall be governed by and construed in accordance with the laws of the Republic of India.

In the event of any dispute, the parties agree to first seek resolution through amicable good-faith mediation. Should mediation fail within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, conducted in English by a sole arbitrator mutually agreed upon. The competent courts having jurisdiction in Bulandshahr, Uttar Pradesh, India shall have exclusive supervisory and judicial jurisdiction.
